1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NuCoord ("Company," "we," "us," or "our") governing your access to and use of the NuConnect mobile application (the "App"), including any content, functionality, and services offered on or through the App.

By creating an account, accessing, or using the App, you agree to comply with and be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the App.

2. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that:

• You are at least 18 years of age

• You have the legal capacity to enter into these Terms

• You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations

• You have not been previously suspended or removed from the App

3. Account Registration and Security

3.1 Account Creation

To use certain features of the App, you must create an account. You may register using:

• Email address and password

• Sign in with Apple

• Other third-party authentication services we may offer

3.2 Account Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

3.3 Account Security

You must:

• Keep your password confidential and secure

• Notify us immediately of any unauthorized use of your account

• Not share your account credentials with any third party

• Not allow others to access your account

We are not liable for any loss or damage arising from your failure to comply with these security requirements.

4. Acceptable Use Policy

4.1 Permitted Use

NuConnect is a professional networking platform designed to help users connect with other professionals at events. You may use the App to:

• Browse professional events (match rooms)

• View profiles of other attendees

• Send and receive connection requests

• Chat with your professional connections

• Build and maintain a professional network

4.2 Prohibited Conduct

You agree NOT to use the App to:

• Harassment or Abuse: Harass, bully, stalk, intimidate, threaten, or abuse any person

• Hate Speech: Promote violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic

• Spam or Solicitation: Send unsolicited commercial messages, spam, or chain messages

• Impersonation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

• Fake Accounts: Create multiple accounts, fake accounts, or accounts for anyone other than yourself

• Inappropriate Content: Post, upload, or share sexually explicit, violent, or otherwise inappropriate content

• Illegal Activity: Use the App for any illegal purpose or in violation of any local, state, national, or international law

• Dating/Romantic Purposes: Use the App for dating or romantic purposes; NuConnect is strictly for professional networking

• Data Scraping: Use automated means (bots, scrapers, crawlers) to access the App or collect user data

• Intellectual Property Violation: Infringe on any intellectual property rights, including copyrights, trademarks, or patents

• System Interference: Interfere with or disrupt the App's servers, networks, or security features

• Reverse Engineering: Reverse engineer, decompile, or disassemble the App

5. User Content

5.1 Your Content

"User Content" means any content you post, upload, or share on the App, including but not limited to:

• Profile information (name, photo, bio, company, title)

• Messages sent through chat

• Any other content you create or share

5.2 License Grant

By posting User Content, you grant NuCoord a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the App and our business, including for promoting the App.

5.3 Content Ownership

You retain all ownership rights to your User Content. However, you are solely responsible for your User Content and the consequences of posting or publishing it.

5.4 Content Standards

Your User Content must:

• Be accurate and truthful

• Not violate any third-party rights (copyright, trademark, privacy, etc.)

• Not contain viruses, malware, or other harmful code

• Comply with our Community Guidelines and all applicable laws

6. Community Guidelines

All users must adhere to the following Community Guidelines:

Professional Conduct

• Treat all users with respect and professionalism

• Use the App for business networking purposes only

• Maintain authentic and accurate profile information

Respect Boundaries

• Respect other users' time and communication preferences

• Do not send excessive or unwanted connection requests or messages

• Accept "no" gracefully if someone declines to connect

Safety and Privacy

• Do not share others' personal information without consent

• Report any suspicious, abusive, or inappropriate behavior

• Use the block feature if someone makes you uncomfortable

7. Moderation and Enforcement

7.1 Content Moderation

We reserve the right, but are not obligated, to:

• Monitor and review User Content

• Remove or refuse to post any User Content for any reason

• Investigate violations of these Terms

• Take appropriate legal action against violators

7.2 Enforcement Actions

If you violate these Terms or our Community Guidelines, we may take the following actions:

• Warning: First-time minor violations may result in a written warning

• Content Removal: Removal of violating content

• Temporary Suspension: Temporary suspension of account access (1-30 days)

• Permanent Ban: Permanent termination of your account and prohibition from future use

• Legal Action: Reporting to law enforcement for illegal activity

7.3 Appeals

If you believe your account was suspended or terminated in error, you may appeal by contacting us at support@nuconnect.app within 30 days. We will review your appeal and respond within 14 business days.

8. Intellectual Property Rights

8.1 NuCoord's Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by NuCoord, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Trademarks

The NuConnect name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NuCoord. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the App are the trademarks of their respective owners.

8.3 Limited License

We grant you a personal, non-exclusive, non-transferable, limited license to access and use the App for your personal, non-commercial use. This license does not include:

• Any resale or commercial use of the App

• Downloading or copying of account information for the benefit of another merchant

• Any use of data mining, robots, or similar data gathering and extraction tools

9. Third-Party Services and Links

The App may contain links to third-party websites or services that are not owned or controlled by NuCoord. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that NuCoord shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" and "AS AVAILABLE"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER NUCOORD NOR ANY PERSON ASSOCIATED WITH NUCOORD MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APP.

10.2 No Warranty

NUCOORD HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.3 User Interactions

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. NUCOORD RESERVES THE RIGHT, BUT HAS NO OBLIGATION, TO MONITOR DISPUTES BETWEEN YOU AND OTHER USERS. NUCOORD IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE.

10.4 Limitation of Liability

IN NO EVENT WILL NUCOORD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless NuCoord, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms

• Your use of the App

• Your User Content

• Your violation of any third-party rights, including intellectual property rights or privacy rights

• Any harm caused to any other user

12. Termination

12.1 By You

You may terminate your account at any time by:

1. Opening the App

2. Going to Settings or Profile

3. Selecting "Delete Account"

4. Confirming deletion

12.2 By Us

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.

12.3 Effect of Termination

Upon termination of your account:

• Your profile, messages, and connections will be permanently deleted within 30 days

• You will lose access to all App features

• These Terms will remain in effect for provisions that by their nature should survive termination

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, we encourage you to contact us at support@nuconnect.app to seek an informal resolution. We'll work with you in good faith to resolve the dispute. If a dispute is not resolved within 30 days, either party may pursue formal legal remedies.

13.2 Legal Remedies

You retain the right to pursue any legal remedies available to you, including bringing claims in small claims court or other courts of competent jurisdiction. Nothing in these Terms limits your statutory rights as a consumer.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the App thereafter. Your continued use of the App following the posting of revised Terms means that you accept and agree to the changes.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision, and the remainder of these Terms will continue in effect.

17. Waiver

No waiver by NuCoord of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NuCoord to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, our Privacy Policy, and our Community Guidelines constitute the sole and entire agreement between you and NuCoord regarding the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the App.
